Service Terms and Conditions

1. Scope of Services
Vekser LLC (“Vekser,” “we,” “us,” or “our”) provides a range of real estate investment, development, and management services. These include, but are not limited to:
* Property acquisition, sales, and investment structuring
* Asset and portfolio management on behalf of individual and institutional clients
* Property and tenant management, including leasing and concierge services
* Development, construction, design, renovation, and project oversight
* Joint venture and co-development opportunities

All services are subject to individual contracts or proposals detailing scope, deliverables, and timelines.

2. Client Responsibilities
By engaging with Vekser, clients (“you” or “Client”) agree to:

* Provide complete, accurate, and timely information necessary for service delivery
* Maintain compliance with all applicable local, state, national, and international laws and regulations
* Execute and adhere to any separate agreements, investment documentation, or partnership terms
* Fulfill payment obligations as outlined in relevant agreements or invoices
* Refrain from interfering with or misusing proprietary methods, tools, or service platforms

Failure to comply may result in service suspension or termination.

3. Fees, Costs, and Payment Terms
All fees for services are defined in separate agreements, proposals, or investment documents. These may include:

* One-time, recurring, or success-based fees
* Property management or performance-based compensation
* Development or construction management fees
* Transaction fees, fund contributions, or co-investment allocations
Unless otherwise agreed, payments are due upon receipt of invoice and subject to late fees or interest as defined in each specific agreement.

4. Term and Termination
Each service relationship is governed by its own contract duration. Unless stated otherwise:
Either party may terminate with written notice and in accordance with any notice periods or termination clauses included in the applicable agreement

Early termination may result in cancellation fees, forfeiture of deposits, or other charges based on service milestones achieved
‍
Vekser reserves the right to terminate services at any time due to non-compliance, fraud, or conduct that risks legal or reputational harm

.5. Confidentiality and Data Use
Both parties agree to maintain the confidentiality of sensitive financial, operational, or proprietary information shared throughout the engagement.

Clients consent to the use of non-personal data (e.g., portfolio performance metrics, anonymized usage stats) for internal analysis and service improvement.

6. Limitation of Liability
To the fullest extent permitted by law, Vekser shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, investment underperformance, or third-party actions, even if advised of the possibility.

Our maximum aggregate liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

7. No Financial or Legal Advice
Unless expressly stated, Vekser does not provide financial, legal, or tax advice. Clients are responsible for consulting independent advisors regarding investment or legal decisions related to any project, fund, or property.

8. Governing Law and Dispute Resolution
These Terms and any disputes arising from them shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.All disputes shall be resolved through binding arbitration in Miami, Florida, under the rules of the American Arbitration Association (AAA), unless otherwise agreed in writing.

9. International Clients and Cross-Border Transactions
Vekser engages with clients, investors, and partners globally. Where applicable, all contracts, taxes, reporting obligations, and currency exchanges will comply with relevant local regulations. Clients are responsible for understanding and adhering to any international investment or compliance laws in their jurisdiction.
